These Terms & Conditions ("Terms") govern access to and use of irongatedigital.com (the "Site") and the purchase of wholesale prepaid mobile phone and data products ("Products") from Irongate Digital Solutions Limited ("Irongate", "we", "us", "our"). By accessing the Site, submitting an inquiry, or placing an order, you ("Customer", "you") agree to be bound by these Terms. Please also refer to our Privacy Policy, which forms part of these Terms.

1. About Our Services

Irongate is a wholesale distributor of prepaid mobile airtime top-up and data plan products sourced from telecommunications operators across Southeast Asia. Our products are offered primarily on a business-to-business (B2B) basis to resellers, distributors, and telecommunications partners for onward distribution to their own customers or networks.

2. Eligibility and Account Registration

● To use our services, you must be a duly registered business entity (or otherwise have the legal capacity to enter into these Terms) and complete our standard onboarding process.

● You agree to provide accurate, current, and complete information during onboarding and to keep such information up to date.

● You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account.

3. Orders and Pricing

● Product availability, specifications, and pricing are subject to change without prior notice and are confirmed at the time of order via quotation or invoice.

● All orders are subject to acceptance by Irongate. We reserve the right to refuse or cancel any order at our reasonable discretion, including where fraud, compliance, or credit concerns arise.

● Minimum order quantities or values may apply and will be communicated during onboarding or quotation.

4. Payment Terms

● Payment may be made using the payment methods made available on the Site or otherwise agreed with Irongate from time to time.

● Product delivery or activation will generally occur only after payment has been received and confirmed.

● Irongate reserves the right to suspend or delay fulfilment of an order where a transaction is flagged for verification, security, or compliance review.

● You are responsible for any bank or transaction fees, and for ensuring payments are made in full and on time.

4a. Cryptocurrency Payments. In addition to the payment methods described above, Irongate may offer payment via cryptocurrency through a third-party virtual asset service provider. By paying with cryptocurrency, you acknowledge that: (i) blockchain transactions are irreversible and cannot be cancelled, reversed, or charged back once broadcast and confirmed; (ii) the value of cryptocurrencies is subject to significant price volatility, and the amount credited to your order is determined at the exchange rate applicable at the time of payment confirmation, not at the time of order placement; (iii) Irongate is not responsible for transaction delays, network fees, or losses arising from blockchain network congestion, incorrect wallet addresses, or third-party payment processor errors; and (iv) you are solely responsible for ensuring the accuracy of any wallet address or payment details you submit.

4b. Payment Window, Underpayment, and Rate Expiry. Cryptocurrency exchange rates quoted at checkout are locked for a limited payment window. If payment is not received in full within that window, the quoted rate expires; the order may be recalculated at the then-prevailing rate or cancelled at Irongate's discretion. If a Customer sends less cryptocurrency than the amount required — whether due to price movement, network fees, or error — Irongate may, at its discretion: (i) request the shortfall be paid, (ii) apply the amount received toward a reduced order, or (iii) refund the underpaid amount, less any applicable blockchain network fees.

5. Delivery of Products

Prepaid airtime and data products are delivered electronically (for example, via voucher codes, direct top-up, or system-based provisioning) to the Customer's designated account or system. Delivery timeframes may vary depending on the telecommunications operator and product type. You are responsible for ensuring that any delivery information you provide is accurate and complete.

6. Refunds and Cancellations

● Due to the nature of prepaid telecommunications products, orders that have been successfully delivered or activated are generally non-refundable, as they are immediately usable digital goods.

● Where a Product fails to activate or is defective due to an error attributable to Irongate or our telecommunications partners, you may request a replacement or refund within a reasonable period after the transaction, subject to verification. Approval of any refund request is at Irongate's discretion.

● Refunds, where approved, will generally be issued using the original payment method, unless otherwise agreed.

● Where payment was made via cryptocurrency, refunds cannot be issued to the original payment method due to the irreversible nature of blockchain transactions. Approved refunds for cryptocurrency payments will instead be issued via bank transfer, store credit, or an alternative method agreed with the Customer, calculated at the cryptocurrency-to-fiat exchange rate prevailing at the time the refund is approved (not the original transaction rate),less any applicable blockchain network fees incurred.

7. Customer Responsibilities and Compliance

● You agree to use our services only for lawful business purposes and to comply with all applicable laws and regulations.

● You agree not to use our services for any activity involving fraud, money laundering, or other unlawful conduct.

● Irongate reserves the right to request additional documentation, delay transactions, or suspend or terminate a business relationship where reasonably necessary for legal, security, or compliance purposes.

8. Intellectual Property

All content on the Site, including logos, text, graphics, and other materials, is the property of Irongate or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Site without our prior written consent.

9. Disclaimer of Warranties

The Site and our services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Irongate makes no warranties, express or implied, regarding the Site or our services, including as to accuracy, reliability, or uninterrupted availability.

10. Limitation of Liability

To the maximum extent permitted by law, Irongate's total liability arising from or in connection with any order or these Terms shall not exceed the amount paid by you for the relevant order. Irongate shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, revenue, or business opportunity, arising from the use of our Products or Site.

11. Indemnification

You agree to indemnify and hold Irongate, its affiliates, officers, and employees harmless from any claims, losses, liabilities, and reasonable expenses arising from your breach of these Terms, misuse of our services, or violation of applicable law.

12. Termination

Irongate may suspend or terminate your account or access to the Site at any time for breach of these Terms, suspected fraudulent or unlawful activity, or other reasonable business or compliance concerns. You may also terminate your account by contacting us.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

14. Changes to These Terms

We may revise these Terms from time to time to reflect changes in our services or for legal or operational reasons. Updated Terms will be posted on this page with a revised effective date. Continued use of the Site or placement of orders after changes take effect constitutes acceptance of the revised Terms.
